  1. NCOMPASS END USER LICENSE AGREEMENT

  5. Within this license agreement:

  9. YOU MAY: use the Software on any computer; or copy the Software for

  11. archival purposes, provided any copy must contain all of the original
  12.  
  13. Software's proprietary notices.

  17. YOU MAY NOT: permit other individuals to use the Software except under the
  18.  
  19. terms listed above; modify, translate, reverse engineer, decompile,
  20.  
  21. disassemble (except to the extent applicable laws specifically prohibit
  22.  
  23. such restriction), or create derivative works based on the Software; copy
  24.  
  25. the Software (except for back-up purposes); rent, lease, sell or otherwise
  26.  
  27. transfer rights to the Software; or remove any proprietary notices or
  28.  
  29. labels on the Software.

  33. TITLE. Title, ownership rights, and intellectual property rights in and to
  34.  
  35. the Software shall reside with Dr. Gerri Sinclair. The Software is
  36.  
  37. protected by the copyright laws of Canada and international copyright
  38.  
  39. treaties. Title, ownership rights, and intellectual property rights in and
  40.  
  41. to the content accessed through the Software is the property of the
  42.  
  43. applicable content owner and may be protected by applicable copyright or
  44.  
  45. other law. This License gives you no rights to such content.

  49. DISCLAIMER OF WARRANTY. This Software is provided free of charge, and is in
  50.  
  51. its alpha release. It is provided on an "AS IS" basis, without warranty of
  52.  
  53. any kind, including, without limitation, the warranties of merchantability,

  55. fitness for a particular purpose and non-infringement. The entire risk as
  56.  
  57. to the quality and performance of the Software is borne by you. Should the
  58.  
  59. Software prove defective, you and none of Dr. Gerri Sinclair, ExCITE, or
  60.  
  61. GeoSync Corporation shall assume the entire cost of any service and repair.

  63. In this version of the software no security mechanism is included.

  67. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY,

  69. TORT, CONTRACT, OR OTHERWISE, SHALL DR. GERRI SINCLAIR, EXCITE, OR GEOSYNC
  70.  
  71. CORPORATION BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL,
  72.  
  73. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT
  74.  
  75. LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE
  76.  
  77. OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. THIS

  79. LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL

  81. INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION.

  85. MISCELLANEOUS. This Agreement represents the complete agreement concerning

  87. this license between the parties and supersedes all prior agreements and
  88.  
  89. representations between them. It may be amended only by a writing executed
  90.  
  91. by both parties. If any provision of this Agreement is held to be
  92.  
  93. unenforceable for any reason, such provision shall be reformed only to the
  94.  
  95. extent necessary to make it enforceable. This agreement shall be governed
  96.  
  97. by and construed pursuant to the laws of British Columbia.

  101. TERMINATION. This license will terminate automatically if you fail to
  102.  
  103. comply with the limitations described above. On termination, you must
  104.  
  105. destroy all copies of the Software.
